Chun Wei joined Sullivan & Cromwell in 1989 and became a partner of the Firm in 1997. She is responsible for coordinating the Firm's practice in Asia and is the head of our China practice. Ms. Wei is a Chinese citizen and is fluent in both English and Chinese.
Ms. Wei is a recognized authority on corporate finance, acquisitions, joint ventures and other corporate and financial matters. Throughout her area, Ms. Wei has worked on numerous China related transactions. Many of these transactions, including those that have won awards from Finance Asia, IFLR and Asia Law & Practice, were the first of their kind in China. Sullivan & Cromwell's China practice was awarded by IFLR in March 2005 as "China Practice Team of the Year".
In the capital market area, Ms. Wei has extensive experience in securities offerings in the United States, NYSE and Nasdaq listings. Highlights of her capital market work include:
- Advised Bank of China in its US$ 11.2 billion initial public offering and Hong Kong listing
- Advised China Unicom in its US$ 5.43 billion initial public offering and dual listing in Hong Kong and NYSE
- Advised China Shenhua Energy in its US$ 3.3 billion initial public offering and Hong Kong listing
- Advised Bank of Communications in its US$ 2.2 billion initial public offering and Hong Kong listing
- Advised the underwriters in the US$ 2.8 billion initial public offering and NYSE listing by PetroChina
- Advised Ping An Insurance in its US$ 1.84 billion initial public offering and Hong Kong listing
- Advised China Telecom in its US$ 1.4 billion initial public offering and dual listing in Hong Kong and NYSE
- Advised China Mobile on its US$ 4.2 billion initial public offering and NYSE listing
- Advised the underwriters on the US$ 325 million initial public offering, NYSE listing and follow-on offering by Yingli Green Energy
- Advised China Digital TV on its US$ 221 million initial public offering and NYSE listing
- Advised the underwriters on the US$ 101 million follow-on offering by VisionChina Media
In the merger and acquisition area, Ms. Wei has been involved in numerous acquisitions and joint ventures involving Chinese companies. Highlights of her M&A work include:
- Advised China Unicom in its US$ 56.34 billion acquisition of China Netcom and the US$ 15.9 billion sale of its CDMA business to China Telecom
- Advised China Huaneng Group in its US$ 3.04 billion acquisition of 100% equity interest in Tuas Power Ltd. from Temasek Holding (Private) Limited in Singapore
- Advised China Investment Corporation in its US$ 5 billion investment in Morgan Stanley
- Advised Kodak in its sale of assets to Onex, with a total consideration of approximately US$ 2.55 billion
- Advised UBS in its purchase of the global derivative businesses of ABN AMRO
- Advised Jilin Chemical in connection with its going private transaction with PetroChina (both NYSE-listed companies)
- Advised Bank of China in US$ 5 billion strategic investments by The Royal Bank of Scotland Group, Temasek Holdings, UBS and ADB
- Advised Bank of Communications in its US$ 1.7 billion sale of 19.9% of its equity to HSBC
- Advised Thomson S.A. on its joint venture with TCL Holdings to combine their worldwide television businesses
- Advised UBS AG in connection with its purchase of US$ 3 billion loan portfolio from China Huarong Asset Management Corporation
- Advised Allianz AG on its joint venture with Guotai Junan Securities Co., Ltd. in establishing the earliest joint venture fund management company in China
- Advised ExxonMobil in connection with its investment in China Petroleum & Chemical Corporation
- Advised Alcan in its joint venture with Qing Tong Xia Aluminum in China
