Leaders in Securities Work Around the World

Our lawyers continue to advise on some of the largest and most significant capital markets transactions around the world. Examples of the global reach of our work include the following recent transactions:

  • In the United States, S&C represented the underwriters in the $1.43 billion IPO and NYSE listing by American Water Works Company, Inc; the underwriters in the $162 million IPO by Fifth Street Finance Corp.; the underwriters in a $1.25 billion offering of shares by SunTrust Banks, Inc.; U.S. Bancorp in a $2.88 billion offering of shares; the $3.2 billion carve-out/spin-off of EchoStar Corporation by EchoStar Communications Corp. (now DISH Network); Anheuser-Busch InBev in its $3 billion issuance of senior unsecured notes; JPMorgan Chase & Co. in its $11.5 billion offering of shares; and Citigroup in two award-winning transactions: (i) its private placement of $7.5 billion of Deferred Equity Capital Securities to Abu Dhabi Investment Authority (IFLR’s “Equity-Linked Deal of the Year”) and (ii) its offering $15.4 billion convertible preferred securities (IFLR’s “Americas Structured Equity Issue of the Year”).

  • In Europe, we were regular counsel to Kreditanstalt fuer Wiederaufbau (KfW) (“Regional Issuer of the Year,” IFLR) in its global debt and equity offerings with an aggregate value in excess of $30 billion since 2008. S&C also represented the underwriters in Anglo American Capital plc’s $2 billion debt offering; UBS AG in the private placement of $11.6 billion of new capital in the form of mandatorily convertible notes to The Government of Singapore Investment Corporation Pte. Ltd.; EDF S.A. in its $3.75 billion fixed rate global notes (providing both French and U.S. law advice); the underwriters in the $1.74 billion debt offering by Eksportfinans ASA; the underwriters in the $3.5 billion debt offering by European Investment Bank; and Barclays PLC in multiple transactions, including its $8.9 billion equity offering. "

  • In the Asia-Pacific region, we acted in a number of IPOs, including representing Alibaba.com Limited in its $1.69 billion global IPO and listing in Hong Kong (Finance Asia’s “Best Equity Deal of the Year”/“Best IPO of the Year”); HSBC China Dragon Fund in its $476 million global IPO and listing in Hong Kong; China Digital TV Holding in its $221 million IPO and New York Stock Exchange listing; the underwriters in the global IPOs and Tokyo Stock Exchange listings of Sony Financial Holdings ($2.96 billion, “Asia-Pacific Equity Issue of the Year,” IFLR), USJ Co. Ltd. ($263 million) and Seven Bank, Ltd. ($500 million); and the underwriters in the IPOs and NYSE listings by Yingli Green Energy Holding and China Nepstar Chain Drugstore. Additional noteworthy work on offerings by Asia-Pacific issuers included a $1.5 billion guaranteed bond offering by Japan Bank for International Cooperation, a $2.4 billion rights offering and private placement by Wesfarmers Limited, a $2.1 billion block trade of the shares of LG Display Co. Ltd. (formerly known as LG.Philips LCD) and a $490 million convertible offering by Tata Motors (Finance Asia’s “Most Innovative Deal”).

  • In Latin America, we continued to advise on sovereign offerings by the Federative Republic of Brazil, the Republic of Colombia, the Republic of Panama, the United Mexican States and Corporación Andina de Fomento; represented Bancolombia in its first SEC-registered equity offering since its 1995 IPO and in its first-ever SEC-registered debt offering; advised Transportadora de Gas del Sur in a tender offer and notes offering; advised Ixe Banco in a $120 million hybrid offering; and acted for the underwriters in multiple offerings by Petróleos Mexicanos (PEMEX), with an aggregate value in excess of $3.5 billion since 2008, and in two hybrid offerings by CEMEX with an aggregate value of approximately $1.74 billion in 2007, following an innovative $1.25 billion CEMEX offering in which we acted as structuring counsel to the initial purchasers in December 2006.
