2009 Restructuring Deal of the Year
Investment Dealers' Digest (IDD) and IFLR Americas

The CIT restructuring won the IDD and IFLR Americas Restructuring Deal of the Year awards. S&C advised CIT Group Inc. and its board of directors on its restructuring plan, the largest prepackaged bankruptcy plan in history. The Firm gave extensive advice on regulatory, corporate governance, executive compensation and restructuring matters.


2009 Restructuring Deal of the Year

The Gruma, S.A.B. de C.V. derivative restructuring was named the Restructuring Deal of the Year. S&C was recognized for its role as counsel to Gruma’s bank creditors. S&C represented a syndicate of five banks as creditors under a 2005 credit facility in the restructuring of $197 million of debt under the facility and more than $600 million of debt under various derivative transactions.


2008 Restructuring Deal of the Year
IFLR Americas

S&C acted as counsel to a consortium of 26 financial institutions in the commutation of credit default swaps and financial guaranty insurance policies in exchange for control of CIFG Holding, Ltd.


2008 Restructuring Deal of the Year

S&C acted as counsel to Total and StatoilHydro as sponsors of the Sincor/Petrocedeño project, in the restructuring of $1.9 billion of senior debt and conversion of the project from an unincorporated joint venture into a single purpose company owned 60% by PDVSA, the Venezuelan state-owned oil company.


2008 Outbound Investment Deal of the Year
Asian-Counsel

S&C represented Mitsubishi UFJ Financial Group, Inc. in its acquisition of preferred shares in Morgan Stanley. The transaction represented one of the largest outbound investments ever by a Japanese company.


2004 Restructuring Deal of the Year
Euromoney

S&C advised Transportadora de Gas del Sur (TGS) in connection with its $1 billion debt restructuring in 2004, the largest debt restructuring of an Argentine company since the financial crisis in Argentina in 2001.
